JVDigital – Website Project Terms & Conditions

1. General

These Terms & Conditions apply specifically to website design, development, and related digital projects provided by JVDigital (“we”, “us”, “our”) to the Customer (“you”, “your”).
By accepting a quote, paying a deposit, or engaging our services, you agree to these Terms.

2. Scope of Services

Services are provided as outlined in the accepted quote, proposal, or agreement.
Any work outside the agreed scope may incur additional charges at our standard hourly rates.

3. Pricing & Payment

  • All pricing is in AUD and exclusive of GST unless stated otherwise
  • A deposit may be required prior to commencement
  • Final payment is due upon completion or prior to handover, unless otherwise agreed
  • Late payments may result in suspension of services

4. Customer Responsibilities

You are responsible for:

  • Providing accurate, complete, and lawful content (text, images, video, data)
  • Ensuring you have rights or licences to all materials supplied
  • Reviewing and approving work in a timely manner

We are not responsible for errors or issues arising from incorrect or incomplete information provided by you.

5. Third-Party Services, Domains & Hosting

JVDigital may supply or resell third-party services, including but not limited to domain names, web hosting, plugins, integrations, and external platforms.

  • These services are provided by third-party providers and remain outside JVDigital’s control
  • JVDigital does not own, operate, or manage the underlying infrastructure of these services
  • We are not responsible for the performance, availability, security, or reliability of any third-party services

Any fees paid for domains or hosting may include a resale component for procurement and management.

6. No Guarantee of Performance or Uptime

JVDigital does not guarantee:

  • Continuous or uninterrupted website availability
  • Specific uptime levels of hosting platforms
  • Website speed, performance, or load times
  • Search engine rankings, traffic, or marketing outcomes

Performance may be affected by third-party services, hosting providers, user behaviour, and external factors outside our control.

7. Revisions & Changes

Reasonable revisions may be included where specified.
Additional revisions or changes outside the agreed scope will be billed at our standard rates.

8. Project Timelines

Timeframes are estimates only and depend on:

  • Client responsiveness
  • Third-party systems
  • Scope changes

We are not liable for delays outside our control.

9. Handover & Completion

A project is considered complete when:

  • The agreed scope has been delivered, and
  • Final payment has been made

Upon handover:

  • Responsibility for ongoing content and updates transfers to the Customer
  • Any ongoing support or maintenance is outside scope unless agreed separately

10. Intellectual Property

  • Upon full payment, the Customer is granted rights to use the completed website/project
  • JVDigital retains the right to reuse general knowledge, skills, and non-confidential elements
  • We may showcase completed work in our portfolio unless otherwise agreed

11. Limitation of Liability

To the maximum extent permitted by law:

  • JVDigital is not liable for indirect, incidental, or consequential loss
  • Our total liability is limited to the amount paid for the services

Nothing in these Terms excludes rights under the Australian Consumer Law.

12. Warranty (Australian Consumer Law)

Services are provided with guarantees that cannot be excluded under Australian Consumer Law.
Where applicable, we will remedy issues in accordance with these rights.

13. Suspension & Termination

We may suspend or terminate services if:

  • Payments are overdue
  • There is misuse of services
  • The project cannot reasonably proceed

14. Governing Law

These Terms are governed by the laws of Victoria, Australia.

15. Updates to Terms

We may update these Terms from time to time.
The latest version will be available on our website.
